Please read these Terms of Service (“Terms”) carefully before using the Wally website and AI chat agent service.

Agreement to Terms

By accessing or using our service, you agree to be bound by these Terms. If you disagree with any part of the terms, you may not access the service.

Use of Service

Our service allows you to create and deploy an AI chat agent on your website using content from your website. You are responsible for maintaining the security of your account and for all activities that occur under your account.

Intellectual Property Rights

The Service and its original content, features, and functionality are and will remain the exclusive property of Wally and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

You retain all rights to your content that you provide to the Service. By providing content to the Service, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your content in connection with the Service.

User Content

You are solely responsible for the content that you provide to our Service, including website content that is used to train your AI chat agent. You represent and warrant that:

  • You own or have the necessary rights to use and authorize us to use all intellectual property rights in and to any content that you provide
  • The content does not violate the privacy rights, publicity rights, copyright, contractual rights, intellectual property rights, or any other rights of any person or entity
  • The content does not contain material that is unlawful, obscene, defamatory, threatening, harassing, abusive, or hateful

Subscription and Payment

Some aspects of the Service may be provided for a fee. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Service.

You agree to promptly update your account and payment information, including email address, payment method, and payment card expiration date, so that we can complete your transactions and contact you as needed.

Free Trial

We may, at our sole discretion, offer a subscription with a free trial for a limited period of time. You may be required to enter your billing information to sign up for the free trial.

If you do not cancel your subscription before the end of the free trial period, you will be automatically charged for the subscription at the then-current rates.

Limitation of Liability

In no event shall Wally, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

Disclaimer

Your use of the Service is at your sole risk. The Service is provided on an “AS IS” and “AS AVAILABLE” basis. The Service is provided without warranties of any kind, whether express or implied.

Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.
